Our client, who is one of the country’s leading financial services institutions, providing exceptional client service in private banking, private business banking, and private wealth management, is seeking a Contracts Management Associate to manage the lifecycle of various contracts on behalf of all business units across the bank; this includes preparing RFPs, reviewing and negotiating contracts for new and existing vendors, and handling the maintenance and terminations of all contracts.  Excellent contract writing and negotiating skills, as well as the ability to manage vendor relationships and contract performance through the contract lifecycle is crucial.

Responsibilities:

  • Coordinate across different internal stakeholder groups, such as Legal, IS, Compliance, EDCI, HR, etc., to successful negotiate vendor contracts, developing and structuring legal and business terms and conditions, including price.
  • Manage MSAs, Non-Disclosure Agreements, SOWs, Amendments, and Order Forms for all products and services, including administrative, tech, and consulting services.
  • Prepare and confirm internal and regulatory reports, assisting with different projects and presentations.
  • Manage contract and vendor data in the vendor management system - RSA Archer.
  • Maintain positive professional and contractual relationships with vendors.
  • Advocate on behalf of the bank’s business and subject matter experts, as well as negotiate with counsel.
  • Utilize the contract management platform to manage contract terms and provide status reports on a continuous basis.
  • Build and maintain positive and productive working relationships with all business lines and internal teams (e.g., tech, audit, security, legal, and compliance).
  • Maintain knowledge of common key terms and conditions, such as SaaS, software, hardware, and professional services agreements.
  • Work collaborative with team members, business units, and internal stakeholders.
  • Understand the significance and requirements of working in a regulated environment, as well as the established controls necessary to succeed in the financial services vertical.
  • Education & Licenses:  J.D. degree is required and must be licensed to practice in the State of California.

    Candidates should meet the following requirements for consideration:

  • Knowledgeable of contract terminology and negotiations
  • Advanced proficiency with MS Word, Excel, and PowerPoint, as well as with quantitative analysis tools
  • Familiar with Archer or other ERM system, specifically with the Vendor Management module
  • Ability to review and analyze data reports and manuals
  • Demonstrate superior oral and written communication skills, contract law knowledge, contract content and structure knowledge, negotiation skills, and work organization skills
  • Contract risk mitigation and excellent contract writing, and negotiation skills.
